General

- On acceptance of a proposal, the client undertakes to sign an agreement of services in writing.
- Payment terms are as stipulated with each module of the quote supplied.
- Services as specified will only commence on receiving payment & signed copy of agreement.
- All work will remain the property of quickOnline until payment is received in full.
- The signing of the contract constitutes an order and the signing thereof shall be deemed to constitute acceptance of the terms and conditions contained herein, which terms and conditions shall take precedence over and supersede any other written or oral agreement concluded between the client and quickOnline or its agents or representatives.
- QuickOnline reserves the right to refuse to construct a web site which we may judge as unfit due to the content or otherwise.
- All Intellectual Property will remain in the ownership of quickOnline unless explicitly transferred to another party via a "Transfer of Intellectual Property agreement".
- Any code used for a client’s project might have been used in the past for previous projects or for future projects, as we make use of Open source resources.
- All material, both text and images supplied by the client and used in construction of the client’s web site, will remain the client’s property.  All such material will be assumed to be the property of the client and free to use without fear of breach of copyright laws.
- QuickOnline shall not be obliged to provide continuing maintenance and support service to the Customer.
- One month notice is required to cancel a service or project. If at any stage the project is canceled, payment will be due for all work completed until the formal cancellation date. Subscription fees for services will be due for the final month of service.
- When canceling services, it is the clients' responsibility to transfer databases in quickMail, download web files, Sql databases & any emails or other files stored. We will delete the user accounts within 7 days of service cancellation taking effect, and cannot be help responsible for loss of data.
- Web development projects placed on hold by the client for reasons outside our control will be subject to a monthly admin fee of R500 per month.
- For SEO services, the campaign months are concurrent. If at any stage the project is put on hold by the client, a nominal administration fee of R500 will be charged per month of temporary pause.
- Additional services not mentioned within the proposal will be quoted & charged for separately.
- Neither quickOnline nor any employee of quickOnline may be held responsible for legal action taken against the client for infringement of copyright material supplied.
- If it is necessary to engage in legal action with a client either due to non-payment of fees or other reasons, the client will be held liable for these costs incurred.
- We reserve the right to charge interest on accounts outstanding for more than 30 days at a rate of 2% per month compounded.
- No variation or amendment hereof or addition there to shall have any force or effect unless reduced to writing and signed by the client and quickOnline or their duly authorized agents.  No indulgence, extension of time, relaxation or latitude show, granted or allowed by quickOnline to the client shall in any way constitute a novation or waiver by quickOnline of any of its rights hereunder, nor shall quickOnline be stopped from exercising any of its rights hereunder by virtue thereof.
- The client consents to the jurisdiction of the Magistrates’ Court having jurisdiction over its person, irrespective of the amount in dispute.  Should quickOnline choose to institute action in the High Court, quickOnline shall not be limited to recovering costs on the magistrates’ Court scale.  All costs and disbursements, including attorney and own client costs incurred by quickOnline in enforcing its rights in terms hereof, including but not limited to the collection commission and tracing fees, shall be borne by the client.
A certificate signed by any manager of quickOnline (whose appointment need not be proved by quickOnline), as to any amount due and/or owing by the client in terms of or arising out of the agreement shall be pima facie proof of such amount for all purposes including pleadings, any judgment and provisional sentence.
- All parties hereto choose their domicilium citandi et executandi for all notices and processes at the physical address as recorded on the contract.  Any notice of change of address must be given in writing by the party concerned and delivered by hand or sent by registered mail to the other party, which shall be deemed to have been received within 7 (seven) days of posting.
A)    THE PERSON SIGNING THE CONTRACT ON BEHALF OF THE CLIENT (THE SURETY) DOES HEREBY BIND HIMSELF/HERSELF JOINTLY AND SEVERALLY WITH THE CLIENT AS SURETY AND CO-PRINCIPAL DEBTOR, IN FAVOUR OF QUICKONLINE FOR THE DUE FULFILLMENT OF ANY AND ALL OBLIGATIONS OF THE CLIENT TO QUICKONLINE ARISING OUT OF NY ADVERTISING ORDER PLACED BY THE CLIENT.
B)    THE SURETY HEREBY CHOOSES AS HIS/HER DOMICILIUM CITANDI ET EXECUTANDI AT THE PHYSICAL ADDRESS OF THE CLIENT RECORDED ON THE CONTRACT.
C)    THE SURETY HEREBY RENOUNCES THE BENEFITS OF EXCUSSION AND DIVISION, AND THE BENEFITS OF THE CESSION OF ACTION, NON NUMERATAE PECUNIAE, NON CAUSA DEBITI, ERRORE CALCULI, REVISION OF ACCOUNTS AND NO VALUE RECEIVED, THE FULL MEANING AND EFFECT OF WHICH HE/SHE DECLARES TO.
